Materials, Offering, and Access:

  1. NOTE: The following Terms of use may be slightly diffent from your negociated License Contract. If you any questions please contact us.
  2. The Licensee will receive, for the purpose of independently administering the Black History for a New Day course: one (1) year of access to all 9 lecture videos, discussion questions, course slides, and other materials (See Export Controls below for allowed use of all mentioned materials):
    1. The Licensee will be given secure portal access to all these materials. (To access these materials, use the Course Portal login credentials provided after this agreement has been signed.)
  3. Course structure training:
    1. Pre & post-course orientation, consultation, and feedback sessions with Nehemiah staff for your leaders/staff to customize and shape the BHFAND experience for your group.
      1. The Pre-course consultation, with a Nehemiah staff member, will be offered to support each group’s ability to structure the gatherings to foster community and momentum for participants as a whole group and for breakout groups. (See: Group Creation & Discussion section in the supporting materials)
      2. Post Consultation to debrief and collect feedback data for quality improvement.
  4. Facilitator Training: to ensure licensees are equipped with our best practices model to support and encourage participants to connect the head and the heart through this unique and deep learning process.

Invoiced Payment Policy

  1. All license agreements will be billed via itemized Invoice indicating the named licensee, dates of access, participant count, invoiced rate, and any applicable rate adjustments.
    1. Invoices will be generated within 30 days of the first day of access.
    2. The payment due date will be set at 90 days upon receipt of the invoice.

  1. Please also note that we treat violations of our Terms of Use very seriously, and we have no obligation to offer refunds to licensees who violate our Terms. If your use of our materials or offerings after invoice payment is terminated, a refund may be available; precluding any breach of our Terms of Use.

  1. Licensing rates of the Justified Anger’s Black History for a New Day course are as follows:
    1. Base Rate (minimum rate for licensing): $4,200 - for up to 14 participants. 
    2. 1-14 participants: $4,200 
    3. 15-29 participants: $4,350
    4. 30-39 participants: $5,850
    5. 40-54 participants: $8,100
    6. 55-69 participants: $10,350
    7. 70-84 participants: $12,600
    8. 85-99 participants: $14,850
    9. 100+ participants: $ 15,000

  1. Adjustments can be discussed based on your organization’s socioeconomic context and needs.

  1. Rate revisions and/or revised dates of access will be cataloged in this contract and on the invoice. Invoice and Payment due dates will be adjusted accordingly.
    1. Revisions must be confirmed before this agreement is finalized.

Export Controls

  1. By using our Services, you are warranting that you are not located in, under the control of, a national of, or ordinarily resident in, any country that is subject to applicable U.S. laws and regulations, or laws of your local jurisdiction, preventing Justified Anger: Courses from providing you access to the Services. Your location is determined by your physical location. Use of a virtual private network service, IP routing services, or other similar services for the purpose of circumventing these laws is strictly prohibited.

  1. Notwithstanding anything to the contrary in these Terms, Justified Anger: Courses may suspend performance of or terminate any further obligations to you, effectively immediately if you are in breach of the obligations in this agreement or if the continued provision of our Services to you may, in our sole discretion, result in our commercial or reputational harm.

  1. Except as otherwise expressly permitted in these Terms of Use, you may not copy, sell, display, reproduce, publish, modify, create derivative works from, transfer, distribute, or otherwise commercially exploit in any manner the Black History for a New Day course materials. You may not reverse-engineer, decompile, disassemble, or otherwise access the source code for any software that may be used to operate Justified Anger: Courses (courses.justifiedanger.com).

  1. Subject to your compliance with these Terms, Justified Anger: Courses hereby grants you a freely revocable, worldwide, exclusive, non-transferable, non-sublicensable limited right and license (i) to access, internally use and display the Black History for a New Day course materials, including all materials, offering and access, at your location solely as necessary to participate in the Black History for a New Day course as permitted hereunder, and (ii) to download the materials, offering and access so that you may exercise the rights granted to you.

  1. Some materials provided under this agreement are prohibited from download or export, even under appropriate use of the course materials. All other course materials and offerings not noted below are available to the licensee, within the terms of use, to download or export for the purpose of completing the Black History for a New Day course. Download/Export restrictions are as follows:
    1. All videos, promotional videos, and lecture videos provided under this agreement.

Terms of Use; Revisions and Restrictions

  1. We reserve the right to revise the Terms at our sole discretion at any time. Any revisions to the Terms may be effective immediately upon posting by us. For any material changes to the Terms, we will take reasonable steps to notify you of such changes via a banner on the secure portal, email notification, another method, or a combination of methods. In all cases, your continued use of the course materials, offerings, and access after publication of such changes, with or without notification, constitutes binding acceptance of the revised Terms.

You are prohibited from using our materials and offerings to share content that:

  1. Contains illegal content or promotes illegal activities with the intent to commit such activities. 
  2. Contains credible threats or organizes acts of real-world violence. We don’t allow content that creates a genuine risk of physical injury or property damage, credibly threatens people or public safety, or organizes or encourages harm.
  3. Harasses others. We encourage commentary about people and matters of public interest, but abusive or otherwise inappropriate content directed at private individuals is not allowed.
  4. Violate intellectual property, privacy, or other rights. Do not share content that you do not have the right to share, claim content that you did not create as your own, or otherwise infringe or misappropriate someone else’s intellectual property or other rights. 
  5. Spams others. Do not share irrelevant or inappropriate advertising, promotional, or solicitation content not provided by Justified Anger: Courses (courses.justifiedanger.com).
  6. Otherwise, violate the Justified Anger: Courses Terms of Use.
  7. Please note that specific Content Offerings may have additional rules and requirements.

You also aren't allowed to:

  1. Share your password, let anyone besides yourself/your organization access your account, or do anything that might put your account at risk.
  2. Attempt to access any other user's or licensee's account.
  3. Reproduce, transfer, sell, resell, or otherwise misuse any content from our course materials, offerings, and access unless specifically authorized to do so.
  4. Access, tamper with, or use non-public areas of our systems unless specifically authorized to do so.
  5. Break or circumvent our authentication or security measures or otherwise test the vulnerability of our systems or networks unless specifically authorized to do so.
  6. Try to reverse engineer any portion of Justified Anger: Courses (courses.justifiedanger.com)  course materials or offerings.
  7. Try to interfere with any user, licensee, host, or network, for example, by sending a virus, overloading, spamming, or mail-bombing.
  8. Use our materials or offerings to distribute malware.
  9. Use our materials or offerings or any functionality of the Justified Anger: Courses platform for anything other than completing the Black History for a New Day course.
  10. Impersonate or misrepresent your affiliation with any person or entity related to Justified Anger: Courses or Nehemiah Community Development Corporation.
  11. Encourage or help anyone do any of the things on this list.

Without prior written consent from us, you also aren't allowed to:

  1. Visit or use our course materials or offerings for any form of content, data, or text scraping (including but not limited to screen scraping, web harvesting, or web data extracting) through manual, mechanical, or automated means, including by the use of bots or other similar software.

  1. Use any content, data, or text in any form in the course materials or offerings for text or data mining purposes, or develop or train any application, software, code, or data models including but not limited to generative artificial intelligence or other artificial intelligence and machine learning models irrespective of the purposes whether commercial or non-commercial.

Intellectual Property Rights

  1. Justified Anger: Courses, and thereby Nehemiah Community Development Corporation, respects the intellectual property rights of our content providers, instructors, users, and other third parties and expects our users to do the same when using Justified Anger: Courses (courses.justifiedanger.com) materials, offerings, and access. We reserve the right to suspend, disable, or terminate the accounts of users who repeatedly infringe or are repeatedly charged with infringing the copyrights, trademarks, or other intellectual property rights of others.

  1. Justified Anger: Courses (courses.justifiedanger.com), a program/initiative of Nehemiah Community Development Corporation, operates and is the custodian of all Black History for a New Day course materials, offerings, and access. Justified Anger: Courses instructors reserve all rights to the provided course materials and will be consulted in the event of any modifications to these Terms. 

  1. The Digital Millennium Copyright Act of 1998 (the "DMCA") provides recourse for copyright owners who believe that material appearing on the Internet infringes their rights under U.S. copyright law. If you would like to read the DMCA, please visit the U.S. Copyright Office website at http://www.copyright.gov/legislation/dmca.pdf.

Modifying or Terminating this Licensed Course

  1. We are constantly changing and improving our course materials and offerings. We may add or remove functions, features, or requirements, and we may suspend (to the extent allowed by applicable law) or stop part of our offerings altogether. Accordingly, Justified Anger: Courses may terminate your use of any service for any reason (to the extent allowed by applicable law). If your use of a service after invoice payment is terminated, a refund may be available; precluding any breach of our Terms of Use.

  1. We may not be able to deliver the Services to certain regions or countries for various reasons, including due to applicable export control requirements or internet access limitations and restrictions from governments, or for commercial or reputational reasons. None of Justified Anger: Courses, its Content Providers and instructors, its contributors, sponsors, and other business partners, and their employees, contractors, and other agents (the "Justified Anger: Courses Parties") shall have any liability to you for any such action. You can stop using our Services at any time, although we'll be sorry to see you go.


Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEHEMIAH COMMUNITY DEVELOPMENT CORPORATION SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR NON-USE OF OUR SERVICES; (B) ANY CONDUCT OR CONTENT OF ANY PARTY OTHER THAN THE APPLICABLE NEHEMIAH COMMUNITY DEVELOPMENT CORPORATION PARTY, INCLUDING WITHOUT LIMITATION, ANY DEFAMATORY, OFFENSIVE, OR ILLEGAL CONDUCT; OR (C) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF OUR MATERIALS AND OFFERINGS. IN NO EVENT SHALL NEHEMIAH COMMUNITY DEVELOPMENT CORPORATION'S AGGREGATE LIABILITY FOR ALL CLAIMS RELATED TO THIS AGREEMENT EXCEED THE TOTAL AMOUNT OF FEES RECEIVED BY NEHEMIAH COMMUNITY DEVELOPMENT CORPORATION FROM THE LICENSEE FOR THE USE OF PAID MATERIALS AND OFFERINGS DURING THE DATES OF ACCESS.


YOU ACKNOWLEDGE AND AGREE THAT THE THE LIMITATIONS OF LIABILITY SET FORTH IN THIS LICENSE AGREEMENT REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND NEHEMIAH COMMUNITY DEVELOPMENT CORPORATION, AND THAT THESE LIMITATIONS ARE AN ESSENTIAL BASIS TO NEHEMIAH COMMUNITY DEVELOPMENT CORPORATION'S ABILITY TO MAKE THE SERVICES AVAILABLE TO YOU ON AN ECONOMICALLY FEASIBLE BASIS.


YOU AGREE THAT ANY CAUSE OF ACTION RELATED TO THIS LICENSE AGREEMENT MUST COMMENCE WITHIN SIX (6) YEARS AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.
